Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ZoeyAI platform operated by ZoeyAI Pty Ltd (“ZoeyAI”, “we”, “us”). By creating an account or using the service you agree to be bound by these Terms. If you are using ZoeyAI on behalf of a business, you represent that you have authority to bind that business.
1. Description of Service
ZoeyAI provides an AI-powered customer service chatbot platform including an embeddable chat widget, admin dashboard, conversation management, lead capture, AI training tools, and related features (“Service”). The AI is powered by Anthropic's Claude models. Features available depend on your subscription plan.
2. Accounts
- You must provide accurate information when creating an account.
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old to use ZoeyAI.
- One account per person or business entity unless explicitly agreed otherwise.
3. Acceptable Use
You agree not to use ZoeyAI to:
- Violate any applicable law or regulation
- Collect personal data without proper consent from your website visitors
- Distribute spam, malware, or conduct phishing attacks
- Harass, threaten, or harm any person
- Infringe intellectual property rights of any third party
- Attempt to probe, scan, or test the vulnerability of our systems
- Scrape or data-mine the platform without written permission
- Resell or sublicense access to the Service without authorisation
- Use the AI to generate content that is intentionally deceptive or harmful
We reserve the right to suspend or terminate accounts that violate these provisions without refund.
4. Billing & Payments
- Subscription fees are billed monthly or annually in advance in Australian dollars (AUD) unless otherwise stated.
- Free trials automatically convert to a paid plan at the end of the trial period unless cancelled.
- No refunds are provided for partial months or unused features, except as required by Australian Consumer Law.
- Failed payments result in a 7-day grace period. After that, your account is locked until payment is updated.
- Price changes take effect at your next billing cycle following 30 days' notice.
- All payments are processed securely by Stripe. We do not store card details.
5. Your Data & Content
You retain ownership of all conversation data, lead information, training content, and other data you upload to ZoeyAI (“Your Content”). You grant us a limited licence to process Your Content solely to provide the Service.
You are responsible for ensuring you have the right to collect and process your end users' personal information through the chat widget, including obtaining any required consents under applicable privacy laws.
We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.
6. Intellectual Property
ZoeyAI and its original content, features, and functionality are owned by ZoeyAI Pty Ltdand protected by Australian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without written permission.
7. AI-Generated Content
AI responses are generated automatically and may contain errors, inaccuracies, or outdated information. ZoeyAI is a tool to assist — not replace — human customer service. You are responsible for reviewing AI training content and monitoring conversations. We are not liable for business decisions made based on AI-generated responses.
8. Uptime & Service Levels
We target 99.5% monthly uptime for the chat and API services. Scheduled maintenance is communicated in advance. We are not liable for downtime caused by events outside our reasonable control (third-party outages, force majeure events).
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
Nothing in these Terms excludes any consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) AUD $100.
IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY.
11. Termination
You may cancel your account at any time via the billing settings. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your account immediately if you breach these Terms, with notice provided where reasonably practicable.
Upon termination, your right to use the Service ceases. We will retain your data for 30 days following termination to allow export, after which it is deleted.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes are subject to the exclusive jurisdiction of the courts of Queensland, Australia.
